NYTRO SYSTEMS SEO Affiliate Program Terms and Conditions (APTC)
1. Introduction
Welcome to the Nytro Systems LLC Affiliate Program. This document outlines the terms and conditions (the “Terms”) under which you may participate as an affiliate (the “Affiliate”) within our program. These Terms govern your participation in the program, and we encourage you to read them thoroughly.
2. Definitions
- “Affiliate”: Refers to you, the individual or entity participating in our Affiliate Program.
- “Affiliate Link”: The unique tracking link you use to promote our products.
- “Program”: The Nytro Systems LLC Affiliate Program.
3. Enrollment
To become an Affiliate, you must apply and be approved by Nytro Systems LLC. Approval is at our sole discretion and may be based on criteria such as site content and alignment with our values.
4. Affiliate Obligations
4.1. Affiliates must use the Affiliate Links and any other promotional materials provided by Nytro Systems LLC for the sole purpose of promoting our products.
4.2. Affiliates must adhere to all applicable laws, including but not limited to the Federal Trade Commission guidelines on endorsements.
5. Commissions and Payments
5.1. Affiliates will earn a commission on qualifying sales that occur through properly formatted Affiliate Links.
5.2. Commissions are paid only on links that can be tracked and verified by our systems.
5.3. Payment will be made, provided you have reached the minimum payment threshold specified.
6. Promotion Restrictions
6.1. Affiliates are prohibited from using the Nytro Systems LLC brand in any way that negatively impacts our reputation.
6.2. Affiliates may not use pay-per-click advertising or other forms of paid advertising using our brand or trademarks without prior written consent.
7. Exclusions
7.1. Sales generated through AppSumo are excluded from this Program as these are covered under a separate agreement.
7.2. Affiliates will not receive commissions for any sales credited to other Affiliates and marketing channels.
8. Attribution of Sales
Sales are attributed to the Affiliate whose Affiliate Link was first used by the customer to make the purchase, based on our tracking system. Any disputes in this regards, will be resolved at Nytro Systems LLC own discretions.
9. Intellectual Property
9.1. All trademarks, copyrights, and other intellectual property related to the products and promotional materials provided by Nytro Systems LLC remain the sole property of Nytro Systems LLC.
9.2. Affiliates are granted a non-exclusive, non-transferable, revocable license to use our trademarks and copyrighted material solely in the manner prescribed by us.
10. Term and Termination
10.1. This agreement is effective upon your acceptance as an Affiliate and will continue unless terminated by either party.
10.2. Either party may terminate this agreement at any time .
11. Limitation of Liability
Nytro Systems LLC will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Program.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nytro Systems LLC and its affiliates, officers, agents, and employees from any claim or liability arising from your participation in the Program.
13. Confidentiality
Any confidential information that you are exposed to by virtue of your relationship with Nytro Systems LLC under this Program must be kept confidential and disclosed only with permission from Nytro Systems LLC.
14. Modifications
Nytro Systems LLC may modify and update any of the terms and conditions in this Agreement from time to time.
15. Miscellaneous
15.1. The Affiliate Agreement is governed by the laws of the State of New York, USA.
15.2. Any disputes arising shall be adjudicated in the state and federal courts located in State of New York.
This document constitutes the entire agreement between the parties regarding the Affiliate Program. Your continued participation in the Program following our posting of a change notice or new agreement on our site will constitute binding acceptance of the change.
